CLAZOIRE INC. - Terms and Conditions Effective Date: June 21, 2025

Welcome to CLAZOIRE INC. These Terms and Conditions (“Terms”) govern your access to and use of
the website www.carbonelife.com (the “Site”), and the purchase of any products or services offered by CLAZOIRE INC. (“CLAZOIRE,” “we,” “us,” or “our”).

By accessing the Site or purchasing products from us, you engage in our “Service” and agree to be bound by
these Terms, including additional terms and policies referenced herein. These Terms constitute a legally
binding agreement between you and CLAZOIRE.

Please read these Terms carefully. They contain important information regarding your legal rights, including
a mandatory binding arbitration and class action waiver clause (Section 9).

1.2 Account Information: You agree to provide accurate, current, and complete purchase and account
information, and to update such information promptly.

1.3 Refusal of Service: We reserve the right to refuse service, cancel orders, or terminate accounts at our
discretion for conduct violating laws or harming CLAZOIRE's interests.
Products and Pricing 2.1 Product Display: We strive to display product colors and images accurately
but cannot guarantee monitor accuracy.

2.2 Modifications: Product prices and availability may change without notice. We reserve the right to
discontinue products or the Service at any time.

2.3 Quantities and Sales: We may limit product sales or quantities per customer, region, or jurisdiction on a
case-by-case basis.

2.4 Duties and Import Taxes: Customers outside Canada, including the United States, are responsible for
import duties, taxes, and customs fees. These are not included in the product price or shipping cost.
Intellectual Property Rights 3.1 Ownership: All content on the Site is the property of CLAZOIRE or its
licensors and protected by copyright and trademark laws.

3.2 Trademarks: CLAZOIRE’s names, logos, and designs are trademarks of CLAZOIRE INC. and may not
be used without permission.

3.3 User Content: By submitting reviews, comments, or photos (“User Content”), you grant CLAZOIRE a
royalty-free, irrevocable license to use such content. You warrant you own the rights to any submitted User
Content.

User Conduct and Prohibited Uses Users may not: (a) Use the Site for unlawful purposes; (b) Violate
any applicable laws or regulations; (c) Infringe on CLAZOIRE’s or others’ IP rights; (d) Harass, defame,


1. or discriminate; (e) Submit false claims or reviews; (f) Upload malware or malicious code; (g) Collect
personal data without consent; (h) Circumvent security features.

We reserve the right to terminate access for violations.

2. Privacy Policy Your information is governed by our Privacy Policy, which complies with Canadian
(PIPEDA) and U.S. (CCPA/CPRA) laws. By using our services, you acknowledge you’ve read and agree

3. Warranty and Return Policy 6.1 Quality Guarantee: Each CLAZOIRE item undergoes rigorous
inspection before shipping. If your item arrives damaged or with a manufacturing defect, we offer a
one-time replacement at no cost.

6.2 Limited Warranty: To be eligible: - Notify us at contact@clazoire.com within 7 days of delivery; -
Provide clear photos and description of the issue; - The item must be unused, unworn, and in its original
packaging.

6.3 Exclusions: The warranty does not cover normal wear, misuse, unauthorized modifications, or returns
after 7 days.

6.4 Returns (Non-Warranty): No refunds are provided. Approved return requests may receive: - Store credit
(equal to original value); - One-time size exchange.

CLAZOIRE may provide a return shipping label for first-time returns.

1. Disclaimers and Limitations of Liability 7.1 No Warranty: Products and services are provided “AS IS”
unless otherwise stated. No warranties are made regarding merchantability or fitness.

7.2 Limitation of Liability: CLAZOIRE is not liable for indirect, incidental, or consequential damages. Our
maximum liability shall not exceed the purchase price of the product.

1. Indemnification You agree to indemnify CLAZOIRE and affiliates against claims or demands arising
from your violation of these Terms or applicable laws.

2. Governing Law & Dispute Resolution 9.1 Governing Law: These Terms are governed by the laws of
Ontario and Canada, except where local consumer laws in your jurisdiction prevail.

9.2 Arbitration (Canada): Disputes shall be resolved through binding arbitration under the Arbitration Act,
1991 (Ontario), unless otherwise agreed.

9.3 Arbitration (USA): This clause shall comply with the U.S. Federal Arbitration Act. U.S. customers may opt
out of arbitration by emailing contact@clazoire.com within 30 days of first purchase.

9.4 Class Action Waiver: Disputes must be brought in an individual capacity. Class or representative actions
are not permitted.

9.5 Exceptions: Either party may seek small claims or equitable relief for IP or data security violations.

1. General Provisions 10.1 Severability: If any provision is found unenforceable, the rest remain in
effect.

10.2 Entire Agreement: These Terms, plus referenced policies, form the full agreement between you and
CLAZOIRE.

10.3 Modifications: We may update these Terms. Continued use of the Site means you accept the latest
version.

10.4 Fraudulent Behavior: CLAZOIRE reserves the right to reject service or claims from users engaging in
false reporting, fraudulent reviews, or policy abuse. Legal action may be pursued.

10.5 Compliance Statement: CLAZOIRE certifies that product descriptions adhere to U.S. FTC Jewelry
Guidelines and Canadian labeling laws. We disclose gold plating, stone type (e.g., Moissanite), and material
purity accurately.

10.6 DMCA Takedown Procedure: If you believe any content on our site infringes your copyright, you may
submit a written DMCA notice to contact@clazoire.com with the following: - Your contact info; - A
description of the copyrighted work; - The exact URL or location of the allegedly infringing content; - A
statement that you believe in good faith the use is unauthorized; - A statement under penalty of perjury
that the information is accurate and you are authorized to act on behalf of the copyright owner; - Your
electronic or physical signature. CLAZOIRE reserves the right to remove content or restrict access in
response to valid takedown requests.

10.7 Payment & Billing Disputes: All payments must be authorized and valid. In case of a failed payment, we
reserve the right to cancel your order. Chargebacks initiated without contacting us first may result in
account termination. If you believe there is a billing error, contact us at contact@clazoire.com within 7
days of your transaction.

10.8 Affiliate & Influencer Terms: If you participate in a CLAZOIRE affiliate or referral program, you agree to:
- Use only approved media/assets; - Avoid making false claims about CLAZOIRE products; - Clearly disclose
any affiliate relationship (in compliance with FTC guidelines); CARBONE may terminate your participation at
any time for violations.

10.9 User Reviews and Moderation: Users may leave reviews on products they have purchased. CLAZOIRE
reserves the right to moderate, remove, or refuse to publish reviews that: - Contain profanity or hate
speech; - Are not related to the purchased item; - Are submitted by individuals who have not purchased the
item; - Include defamatory or false statements. Repeated violations may result in account suspension or
legal action.
